1. Definitions

  • “The AdBook Outdoor,” “we,” “us,” “our” refers to The AdBook Outdoor, a DOOH advertising company based in Ahmedabad, India.
  • “Client,” “you,” “your” refers to any individual or entity using our services.
  • “Services” refers to digital advertising services provided by us, including but not limited to the leasing of advertising space on our digital screens.
  • “Content” refers to all materials provided by the Client for display on our digital screens, including graphics, videos, text, and logos.

2. Services Provided

  • Display of digital advertisements on our screens located in Ahmedabad and other specified locations.
  • Campaign management, scheduling, and reporting.
  • Creative assistance (if explicitly agreed upon in writing).

3. Client Obligations

3.1. Content Submission: You are responsible for submitting advertising Content that:
  • Is accurate, complete, and legally compliant.
  • Does not infringe on any third-party rights (e.g., copyright, trademark, privacy).
  • Is not defamatory, obscene, offensive, or promotes illegal activities.
  • Adheres to the technical specifications provided by us.
3.2. Approval: All Content is subject to our approval. We reserve the right to reject or remove any Content that violates these terms or is deemed unsuitable.
3.3. Timely Submission: Content must be submitted within the deadlines agreed upon in the advertising contract to ensure timely campaign launch.

4. Payment Terms

4.1. Fees: All fees will be outlined in the advertising contract. Prices are subject to change without prior notice unless under a signed contract.
4.2. Payment Schedule: Payments must be made as per the invoice schedule. Late payments may result in campaign suspension or termination.
4.3. Taxes: All fees are exclusive of applicable taxes (e.g., GST). You are responsible for paying all taxes as required by Indian law.

5. Intellectual Property

5.1. Client Content: You retain ownership of the Content you submit. By providing Content, you grant us a license to display it on our screens for the duration of the campaign.
5.2. The AdBook Outdoor IP: All intellectual property related to our technology, software, and brand remains our exclusive property.

6. Limitation of Liability

6.1. We are not liable for:

  • Technical issues beyond our control, including power outages, screen malfunctions, or network errors.
  • Loss of profits or business opportunities due to campaign delays or interruptions.
  • Third-party claims arising from your Content.
6.2. Our total liability for any claim shall not exceed the total fees paid by you for the specific campaign.

7. Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control, including but not limited to natural disasters, government regulations, strikes, or pandemics.

8. Termination

  • 8.1. Either party may terminate a campaign with written notice if the other party breaches these terms and fails to remedy the breach within 14 days.
  • 8.2. Upon termination, you will be liable for payments for services rendered up to the termination date.

9. Governing Law and Dispute Resolution

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website, and continued use of our services constitutes acceptance of the updated terms.
